You retain ownership of your User Content. However, by providing it to Idalia Technology, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, and process the content solely for the purpose of operating and improving the Services.
You represent and warrant that:
You have all necessary rights to submit and use your User Content.
The User Content does not violate any law, third-party rights, or agreement.
The User Content is free from harmful, illegal, or malicious code.
You are responsible for your User Content and any consequences arising from it. Idalia Technology does not actively monitor content but may remove items that violate these Terms or applicable law.
Except for your User Content, all materials provided through the Services — including but not limited to software, text, images, graphics, logos, data, and trademarks — are owned by Idalia Technology Pty. Ltd. or its licensors and protected under intellectual property laws.
You may not reproduce, distribute, or create derivative works of our materials without written permission.
Nothing in these Terms grants you the right to use Idalia Technology’s name, trademarks, or logos without prior written consent.
We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
You must not:
Copy, modify, reverse-engineer, or decompile any part of the Services.
Tamper with or disable any security features.
Interfere with or disrupt the Services or associated networks.
Use the Services to violate any laws or rights of others.
Upload or distribute any malware, spyware, or similarly harmful items.
Use the Services to compete with, or replicate, Idalia Technology’s products.
Infringe on any intellectual property or confidentiality obligations.
Violation of this Section may result in immediate suspension or termination of access.
Some Services have defined pricing or usage limits. Usage in excess of free tiers requires the purchase of a paid plan, as detailed on our website or your subscription contract.
By subscribing, you agree to pay all applicable fees and taxes. Payments are final and non-refundable except as required by applicable law or agreed upon in writing.
Your use of our Services is governed by our Privacy Policy.
By using our Services, you consent to the collection, processing, and storage of personal information as outlined in that policy.
If you are an organization using our Services, you are responsible for ensuring your use complies with data protection laws applicable to your jurisdiction and your end-users.
You also agree that Idalia Technology may identify you as a customer and use your name and logo in marketing materials unless you opt out in writing.
Idalia Technology continually improves its software and may:
Modify or discontinue features without prior notice.
Suspend or terminate your Services if you breach these Terms.
Terminate the Services entirely at its discretion.
You may terminate your Account at any time. Upon termination, you should export any User Content in advance, as your access may be permanently removed. Refunds are only offered where required under applicable law.
All provisions which, by nature, survive termination (such as intellectual property ownership, disclaimers, limitation of liability, and indemnities) remain in effect.
We may offer experimental or early-release products or features labeled as “Beta Services.”
These may be incomplete, unstable, or contain bugs. Beta Services are provided “as is” and are used entirely at your own risk.
You may be asked to provide feedback; you agree that Idalia Technology may freely use such feedback to improve the Services.
We may amend these Terms periodically. Updates will be posted on our website with the revised “Last Updated” date.
By continuing to use the Services after an update, you agree to the new Terms. If you do not agree, you must discontinue use.
To the maximum extent permitted by law:
The Services are provided on an “as-is” and “as-available” basis.
Idalia Technology makes no warranties (express or implied) as to performance, reliability, availability, or suitability for your purposes.
We do not guarantee that the Services are free from interruption, error, or viruses.
Nothing in these Terms excludes or limits your statutory rights under the Australian Consumer Law (ACL).
To the fullest extent permitted under the ACL and other laws:
Idalia Technology, its officers, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages.
This includes loss of profits, revenue, goodwill, or data.
Where our liability cannot be excluded, it is limited to the amount paid by you to use the Services in the last 12 months or AUD $100, whichever is greater.
You agree to indemnify and hold harmless Idalia Technology, its employees, and affiliates from any claims, damages, or expenses (including legal fees) arising from:
Your breach of these Terms.
Your use of the Services.
Any violation of applicable laws or third-party rights.
Our Services may link to or integrate with third-party websites, APIs, or software (“Third-Party Materials”).
You use such materials at your own risk; Idalia Technology is not responsible for their content, privacy practices, or reliability.
We may invite you to provide suggestions, improvement ideas, or other feedback about the Services.
By submitting feedback, you grant Idalia Technology a perpetual, royalty-free, irrevocable licence to use and incorporate it without restriction or compensation.
These Terms are governed by the laws of New South Wales, Australia.
In the event of a dispute, the parties agree to attempt to resolve it amicably. If it cannot be resolved informally, disputes shall be referred to mediation administered by the Resolution Institute of Australia.
If mediation is unsuccessful, both parties submit to the exclusive jurisdiction of the courts of New South Wales.
These Terms, together with our Privacy Policy, form the entire agreement between you and Idalia Technology.
If any provision is found invalid, it will be severed and the rest will remain enforceable.
A failure to enforce any provision is not a waiver of that right.
You may not assign these Terms or any rights under them without our written consent.
